PensionSync API Terms of Use
1. Introduction
You agree that by using our PensionSync API, you are entering into a licensing agreement with PensionSync Ltd ("we"," "us," "our," and "PensionSync"). By registering for an account (a "Developer Account") at the PensionSync Developer Portal at www.PensionSync.com (the "Developer Site"), you acknowledge that you have read and understood and agree to be bound by these PensionSync API Terms of Use (the "Terms"). If you are using our PensionSync API on behalf of a company or other entity, you represent and warrant that you have full legal authority to register for a Developer Account on behalf of that entity and bind it to these Terms. If you are not authorised, you may not accept the Terms or register for a Developer Account for someone else.
1.1 Purpose
The mission of PensionSync Ltd as expressed in its PensionSync product is to automate the transfer of Employee data between Payroll, AE Middleware and Pension IT systems as efficient and seamless as possible. We are making the PensionSync API available to third party developers such as you to help you quickly automate the validation, conversion and transport of data between your application and the companies/organisations which can receive data from PensionSync (the "Destinations").
1.2 Scope and Intent
The PensionSync API is a self-service web-based API, accessible via a variety of usage plans (the "Plans") that will accept PAPDIS or PASS Data in XML or CSV form and then validate that data according to the rules defined by the PAPDIS or PASS Data standard XSD schema. As used in these Terms, "APIs" means programmatic web APIs and associated tools and documentation that PensionSync Ltd provides, and "Application" means a software application, website, or product you create or a service you offer.
You may be eligible for a licence to use the self-service PensionSync API if you have agreed these Terms and registered for a Developer Account, and are developing and/or making available to your clients an Application designed to provide Employers with Auto-enrolment related services; for example, a Payroll software product that assess Employees in a Payroll Period.
1.3 Usage Limitations
Depending on which Plan you chose when you created an account at the Developer site, your application may be limited in terms of how many API calls it can make in a given period. PensionSync Ltd reserves the right to change any usage limitations without notice. If the usage limitations applicable to your Plan are changed then PensionSync Ltd will make reasonable efforts to proactively contact all Plan subscribers in advance to notify them of the change to usage limitations.
1.4 Charges.
Depending on which Plan you chose when you created an account at the Developer Site, your organisation may be charged a fee for using the PensionSync API. PensionSync Ltd staff will proactively contact you if you have registered for a chargeable Plan and ask you to sign a commercial contract (the "Contract"). Failure to agree to a Contract in a reasonable timeframe (as decided by PensionSync Ltd) will result in the disassociation of your account with the chargeable Plan.
1.5 Business Identity Check.
Depending which Plan you chose when you created an account at the Developer Site, your business organisation may be required to provide PensionSync Ltd with information so we can complete an identity check. PensionSync Ltd staff will proactively contact you if you have registered for a Plan requiring a business identity check. Failure to provide requested information in a reasonable timeframe (as decided by PensionSync Ltd) will result in the disassociation of your Developer Account with the Plan.
1.6 Changes to our APIs and to our Terms and Conditions of Use.
PensionSync Ltd may need, from time to time, to change technical aspects of its API and/or change the Terms of the use of its APIs. By agreeing to these Terms you agree that PensionSync Ltd has the right to change its Terms in the future and also has the right to change, or even remove from service, some or all of the APIs accessed via the PensionSync Developer Portal. If PensionSync Ltd determines that it does need to make a change to an API method or its terms and conditions of use, then it will make reasonable efforts to contact all affected Developer Accounts and notify them in advance of all changes. The notice period ahead of the change will be made as long as reasonably possible.
1.7 Developer Account Data.
PensionSync Ltd will maintain email contact information for all its Developer Accounts at all times. We will use this information for the purposes of proactively contacting Developer Account holders to notify them of changes to APIs, Terms and Conditions, Fees and any other aspect of the PensionSync API service provided by PensionSync Ltd. PensionSync Ltd will not pass on Developer Account Data to 3rd parties, nor use the Developer Account data for any other purpose other than to notify Developer Account holders of upcoming changes, and to communicate about PensionSync and your use of it. Developer Account holders should take care to maintain their contact information within the Developer Site so that PensionSync Ltd can communicate with them effectively. If a Developer Account holder does not wish to be contacted by email then he/she should proactively contact PensionSync Ltd (by emailing us at hello@pensionsync.com) to advise us how they would prefer to be contacted.
1.8 Access to your Account data.
PensionSync Ltd staff will have access to your account information and contact details and be able to use that information to proactively contact you. By agreeing to these Terms you agree to PensionSync Ltd keeping your contact information on its systems and to PensionSync Ltd proactively contacting you from time to time in line with the statements put forward in these Terms.
1.9 Tracking and monitoring your use of the APIs.
PensionSync Ltd staff will gather and store some metrics derived from your use of our APIs. We will use this meta-information for 2 purposes. (1) To better understand your use of our technology so we can improve our technology and maintain our service levels. For example, by recording how many times you use our APIs and when, we will be able to predict when to increase our cloud server resources and for how long. (2) To generate usage statements which we will send to you with your invoice (if you have subscribed to a chargeable Plan) or which we may make available to you via a Usage Dashboard at some point in the future. By agreeing to these terms you agree to PensionSync Ltd recording meta-information about your usage of our APIs.
1.10 Access to your Customer data.
Your customer data (the "Customer data") is data that you are sending to the PensionSync API using the API methods we have provided. PensionSync Ltd staff have no access to this data because it is encrypted at every point in our platform (see paragraph 13 of this section, ‘Data Security’). PensionSync Ltd support staff will not be able to answer any specific questions regarding your data because they will not be able to access your data.
1.11 Deletion of your Data.
PensionSync Ltd will not retain a copy of any Customer Data that you submit to our PensionSync API. Data submitted by your Application to the PensionSync API will be automatically deleted 3 months after it was submitted.
1.12 Technical support and Service Level Agreement.
Depending on which Plan you chose when you created an account at the Developer Site, your organisation will be eligible to receive free customer support from PensionSync Ltd support staff. Technical support contact details will be made available to you on the Developer Site.
1.13 Data Security.
Any data submitted to the PensionSync API will be managed securely within the PensionSync data platform. The PensionSync data platform encrypts data in transit and at rest using multiple proprietary encryption technologies. The PensionSync platform does not permit any data to travel outside of the EU.
2. Joining our Self-Service Program
2.1 Developer Account
To use the PensionSync API, you must first sign up for a Developer Account. You agree that we can store the information submitted by you through your Developer Account and you agree that we can contact you using the information submitted by you.
2.2 Access Credentials
Once you have a Developer Account you may obtain Access Credentials for your Application. "Access Credentials" means the necessary security keys, secrets, tokens, passwords, and other credentials to access the APIs. The Access Credentials enable us to associate your API activity with your Application. All activities that occur using your Access Credentials are your responsibility. Keep them secret. Do not sell, transfer, or sublicense them. Do not try to circumvent them.
2.3 API License
As long as you follow these Terms, we grant you a limited, non-exclusive, non-assignable, non-transferable license to use the PensionSync APIs to develop, test, and support your Application, and to let your customers use your integration of the APIs within your Application.
2.4 Publicity by Us
We may wish to publicly refer to you, in writing, as a licensee of the PensionSync API. We may also wish to publish your name and logo (with or without a link to your Application) on our Website, in press releases, and in promotional materials. If we wish to use your company name and logo in our publicity then we will use the contact information you supplied to us (when you created a Developer Account) to contact you and ask for your permission to be publically associated with you.
3. Act Professionally
Excluded Uses: you must never do any of the following under these Terms:
3.1 Do not send actual employee data to our PensionSync APIs if you do not have the right to "process" or "control" that employee data.
If you send actual employee data to our PensionSync API and you are not authorised by the owner of that data as a legitimate data handler or data controller then you may be breaking UK law (by sending personal data that can identify a living individual to a 3rd party organisation that has not requested that data nor requires that data nor has any right to store that data). If PensionSync Ltd believes that you are sending data inappropriately to our PensionSync API then we will attempt to contact you to verify our belief. Thereafter, or if we cannot establish contact with you, we may terminate your access to the PensionSync API and delete all data associated with your account.
3.2 Do not use the PensionSync API in any Application that violates any law or regulation of England and Wales or any other part of the United Kingdom, or is in any way unlawful.
3.3 Do not distribute or allow access to the PensionSync API to anyone other than the company on whose behalf you agreed to these Terms, or create an API that enables indirect access to the PensionSync API by any other person.
Anyone who wants to access our PensionSync API must register for access with the Developer Site directly.
4. Rights We Reserve
4.1 Support and Modifications
We may provide you with support or modifications for the PensionSync API in our sole discretion. We may stop providing support or modifications to you at any time without notice or liability to you. We may release subsequent versions of the PensionSync API and require that you use those subsequent versions in lieu of the version previously in use. Your continued use of the PensionSync API following a subsequent release will be deemed your acceptance of modifications.
4.2 PensionSync Ltd independent development
You understand and acknowledge that PensionSync Ltd may be independently creating applications, content, and other products or services that may be similar to or competitive with your Application. Nothing in these Terms will be construed as restricting or preventing PensionSync Ltd from creating and fully exploiting any applications, content, and other items, without any obligation to you.
5. Ownership
5.1 PensionSync Lt Property
As between you and us, we own all rights, title, and interest, including all intellectual property rights, in and to, the (a) the PensionSync API, and all elements, components, and executables of the PensionSync API; (b) our Website at www.PensionSync.com; and (c) our Brand Features, including trade and service marks (clauses (a)-(c) collectively, the "PensionSync Materials"). Except for the express licenses granted in these Terms, PensionSync Ltd does not grant you any right, title, or interest in the PensionSync Materials.
6. Term and Termination
The term of these Terms will commence on the date upon which you agree to these Terms and will continue until: you discontinue using the PensionSync API, you close your Developer Account, or we terminate your access to the PensionSync API, these Terms, or both.
6.1. Suspension; Termination
We may suspend or terminate your use of all or any of the PensionSync API at any time if we believe you have violated these Terms or, if we believe the availability of the PensionSync API in your Application is not in our best interests. We may discontinue the availability of some or all of the PensionSync API at any time for any reason. We may also impose limits on certain features and services or restrict or limit your access to some or all of the PensionSync API or our Website. All of our rights in these Terms may be exercised without prior notice or liability to you.
6.2 Effect of Termination
Upon termination of the agreement between you and us under these Terms: (1) all rights and licenses granted to you will terminate immediately; (2) you will promptly destroy PensionSync Ltd confidential information in your possession or control; (3) neither party is liable to the other party just because these Terms have been terminated.
7. Disclaimer
WHILST WE WILL USE REASONABLE CARE IN PROVIDING THE PENSIONSYNC API, WE PROVIDE THE PENSIONSYNC API ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND YOU ARE SOLELY RESPONSIBLE FOR SATISFYING YOURSELF THAT IT MEETS YOUR REQUIREMENTS.
PENSIONSYNC LTD DOES NOT GUARANTEE THAT THE PENSIONSYNC API OR ANY OTHER DEVELOPER RESOURCES IT PROVIDES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS IN FUNCTIONING. IN PARTICULAR, THE OPERATION OF THE PENSIONSYNC API MAY BE INTERRUPTED DUE TO MAINTENANCE, UPDATES, OR SYSTEM OR NETWORK FAILURES.
PENSIONSYNC LTDDISCLAIMS ALL LIABILITY FOR LOSS OR DAMAGE CAUSED BY ANY SUCH INTERRUPTION OR ERRORS IN FUNCTIONING. FURTHERMORE, PensionSync Ltd DISCLAIMS ALL LIABILITY FOR ANY MALFUNCTIONING, IMPOSSIBILITY OF ACCESS, OR POOR USE CONDITIONS OF THE PENSIONSYNC APIS DUE TO INAPPROPRIATE EQUIPMENT, DISTURBANCES RELATED TO INTERNET SERVICE PROVIDERS, TO THE SATURATION OF THE INTERNET NETWORK, AND FOR ANY OTHER REASON.
8. Limitation of Liability
We do not seek to limit or exclude liability, to the extent that we cannot lawfully do so. Subject thereto, neither PensionSync Ltd nor any of our subsidiaries, affiliated companies, suppliers, employees, shareholders, or directors shall be liable for any special, incidental, indirect, punitive or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of the PensionSync API or materials accessed through or downloaded from PensionSync.com, the Developer Site or any other property of PensionSync Ltd.
